Our client, a leading company in the Transportation & Logistics industry, is seeking a Legal Counsel to join their legal department.
Responsibilities:
- Reviewing, providing feedback on, and potentially bargaining over various business contracts, including service agreements, supplier and subcontractor agreements, confidentiality agreements, and terms & conditions;
- Aiding in resolving disputes concerning charter parties, Memoranda of Agreement (MOAs), and shipbuilding contracts;
- Supporting diverse corporate and financial transactions, potentially involving joint ventures and capital markets;
- Offering legal assistance for setting up new foreign branches or subsidiaries of the Group;
- Participating in the creation and enforcement of policies and procedures;
- Evaluating and improving existing legal processes, structures, and procedures within the Group, pinpointing weaknesses, suggesting enhancements, and implementing necessary changes;
- Assisting with insurance and mortgage paperwork;
- Supporting various aspects of company secretarial duties, such as drafting internal board minutes, powers of attorney, and other corporate documents;
- Assisting with Know Your Customer (KYC) and compliance procedures;
- Continuously updating and maintaining legal systems and records;
Qualification & Experiences:
- Qualified lawyer in Singapore or England and Wales
- At least 4 years of experience in a professional law firm with some knowledge in transportation such as shipping, aviation or relevant industry
- Strong ability to work autonomously while being a team player
- Demonstrate a strong understanding on legal matters to identify the legal issues to propose a clearly defined, evaluated risk mitigation solution
